Terms and Conditions
Scope of Work
The Agency will provide the list of services as showcased on the website to the Client. Any additional services requested by the Client will be provided at the discretion of the Agency and may be subject to additional fees. The Agency will use its best efforts to perform the services in a timely and professional manner.
Fees and Payment
The fees for the services provided by the Agency will be fix per year, payable in 2 equal installments . Any additional services will be billed at the hourly rate of 1300 per hour. Payment is due within 4 days of receipt of invoice. Late payments will be subject to a late fee of 200 per day.
Term and Termination
This Agreement shall commence on the date of acceptance by the Client and shall continue for a period of 12 months. Either party may terminate this Agreement upon 2 months written notice. The Client will be responsible for payment for all services provided through the date of termination.
Confidentiality
The Agency and the Client agree to maintain the confidentiality of all proprietary information, including but not limited to customer lists, business plans, and marketing data. The Agency and the Client will not disclose this information to any third party without the written consent of the other party.
Intellectual Property
All intellectual property created by the Agency in the course of providing services to the Client, including but not limited to logos and marketing materials, will be the property of the Agency. The Client will have a perpetual, non-exclusive license to use this intellectual property for the purposes specified in this Agreement.
Indemnification
The Agency will indemnify and hold the Client harmless from any and all claims, damages, or expenses arising from the Agency's performance of services under this Agreement. The Client will indemnify and hold the Agency harmless from any and all claims, damages, or expenses arising from the Client's use of the Agency's services.
